Terms of Service

1. Acceptance of Terms

By accessing our website, engaging our services, or entering into a service agreement with Aiir Technologies & Services Pvt. Ltd. ("Company", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services Overview

Aiir Technologies & Services Pvt. Ltd. provides information technology services including, but not limited to:

• Custom software development (web, mobile, and enterprise applications)
• AI/ML solutions, generative AI, and data science consulting
• UI/UX design, branding, and digital creative services
• Cloud infrastructure, DevOps, and IT consulting
• Quality assurance, testing, and maintenance support
• Digital marketing, SEO, and analytics services

The specific scope, deliverables, and timelines for each engagement are defined in the individual project proposal or Statement of Work (SOW) agreed upon between the parties.

3. Project Engagement & Scope

• All projects are initiated upon mutual agreement of a project proposal or SOW, which outlines deliverables, milestones, timelines, and costs.
• Any changes to the agreed scope (change requests) will be assessed for impact on timeline and cost, and must be approved in writing by both parties before implementation.
• We reserve the right to subcontract specific tasks to qualified partners when necessary, while maintaining overall project responsibility and quality standards.

4. Payment Terms

• Payment schedules are defined in the project proposal or SOW. Unless otherwise agreed, projects follow a milestone-based payment structure.
• Invoices are due within 15 days of issuance unless specified otherwise in the agreement.
• Late payments may attract an interest charge of 1.5% per month on the outstanding amount.
• Work on the project may be paused if payments are overdue by more than 30 days.
• All prices are exclusive of applicable taxes (GST) unless explicitly stated otherwise.

5. Intellectual Property Rights

• Upon full and final payment, intellectual property rights for custom-developed project deliverables are transferred to the client, unless otherwise specified in the agreement.
• Pre-existing frameworks, libraries, tools, and proprietary components used by the Company remain our intellectual property and are licensed to the client for use within the project scope.
• Open-source components used in projects are subject to their respective open-source licenses.
• The Company retains the right to showcase the project in its portfolio (without disclosing confidential information) unless expressly restricted by the client in writing.

6. Confidentiality

Both parties agree to maintain strict confidentiality of all proprietary and sensitive information exchanged during the engagement. This obligation survives the termination of the agreement and remains in effect for a period of two (2) years thereafter, unless a separate Non-Disclosure Agreement (NDA) specifies otherwise.

7. Warranties & Limitations

• We warrant that all services will be performed with reasonable skill and care, consistent with industry standards.
• A bug-fix and support warranty period (typically 30–90 days) is included post-delivery as defined in the SOW.
• We do not warrant uninterrupted or error-free operation of software in all environments. Third-party integrations are subject to the respective provider's terms and availability.
• Our total liability is limited to the fees paid by the client for the specific service giving rise to the claim.

8. Client Responsibilities

To ensure successful project delivery, clients are expected to:

• Provide timely access to required resources, data, and stakeholders
• Review and approve deliverables within agreed timelines
• Provide clear and complete project requirements
• Make payments according to the agreed schedule
• Designate a single point of contact for project communications

Delays caused by late client inputs or approvals may impact project timelines and are not the responsibility of the Company.

9. Termination

• Either party may terminate the engagement with 30 days' written notice.
• In the event of termination, the client is liable for payment of all work completed up to the date of termination.
• Upon termination, all deliverables completed and paid for will be transferred to the client. Work-in-progress may be delivered at the Company's discretion.
• The Company may immediately terminate the agreement in cases of material breach, non-payment, or illegal activity.

10. Force Majeure

Neither party shall be held liable for any failure or delay in performance due to circumstances beyond reasonable control, including but not limited to natural disasters, pandemics, government actions, war, riots, power failures, or internet disruptions.

11. Governing Law & Disputes

These terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India. Both parties agree to attempt amicable resolution through negotiation before pursuing formal legal proceedings.

12. Modifications to Terms

We reserve the right to modify these Terms of Service at any time. Updated terms will be posted on this page with a revised "Last Updated" date. Continued use of our services constitutes acceptance of the modified terms.
